- What is a Sale of Shares Agreement: This is an agreement where a shareholder in the company sells the shares owned by that shareholder to another person (either another shareholder or a third party)
- A sale of shares is different to a sale of business – which provides for the sale of the “Company’s business” as a going concern
- In the case of sale of shares agreement, the new purchaser becomes a shareholder in the company (owns a percentage share in the company)
- The Purchaser will now have the right to (subject to the MOI and shareholders agreement):
- Vote at shareholder meetings;
- Be entitled to appoint a director/s;
- Receive a dividend
