About a Joint Venture Agreement: A Joint Venture is formed for the purposes of joining of resources of the parties in pursuit of a venture, the success of which collaborating parties have a direct interest in. A joint venture can either be an incorporated Joint Venture (where a company is formed) or, as by way of a contractual joint venture by way of a partnership (where no company is formed.
This Legal Precedent is for a partnership Joint Venture. Accordingly, no company is formed and only a contractual relationship exists. As such, the rights and obligations of the parties are determined by the contract itself.
